Terms of Service

Morphion provides digital agency services, including but not limited to:

• Web design & development
• SEO (Search Engine Optimization)
• Content creation (copywriting, graphic design)
• UI/UX design

Specific services will be outlined in a Statement of Work (SOW) or service agreement.

Morphion does not engage in or support:

• Illegal activities (e.g., fraud, hacking, malware distribution)
• Unethical practices (e.g., black-hat SEO, spam, deceptive marketing)
• Harmful, abusive, or discriminatory content (e.g., hate speech, harassment)
• Copyright/trademark infringement (client must provide proof of rights for assets used)

We reserve the right to refuse or terminate services if a project violates these principles.

As a client, you agree to:

• Provide accurate and complete project requirements
• Ensure all content/materials provided are legal and authorized for use
• Not request work that violates laws or third-party rights
• Provide timely feedback and approvals to avoid delays
• Comply with applicable laws (e.g., GDPR, CCPA, advertising standards)

• Fees will be detailed in the applicable Statement of Work (SOW) or invoice
• Payment methods: [Bank transfer, Credit Card, PayPal, etc.]
• Invoicing frequency: [One-time, milestone-based, monthly retainers, etc.]
• Late payments may incur a [X]% fee or suspend services

Our IP: We retain ownership of pre-existing materials, tools, and proprietary methods.

Client IP: You retain ownership of materials you provide.

Deliverables: Upon full payment, you receive a license (or full ownership, if specified in the SOW) to the final deliverables.

Consult a lawyer to finalize IP clauses based on your business model.

To the maximum extent permitted by law, Morphion shall not be liable for:

• Indirect, incidental, or consequential damages
• Losses due to third-party actions (e.g., hosting providers, APIs)
• Client's misuse of deliverables (e.g., illegal activities)
• Delays or failures beyond our reasonable control

Review with a lawyer for compliance with local laws.

• Either party may terminate with written notice if the other breaches these Terms
• We may terminate immediately if a client requests illegal/unethical work
• Unpaid fees remain due upon termination
